Wholesale Partner Terms
Good coffee and clear expectations: these are the standard terms for our wholesale partnerships.
1. Scope and priority
These terms govern business purchases from Brûlerie Artisanale Brown Bag Inc. (“BBCR”), at 595 Rue de Vernon, Unit 8, Gatineau, Québec J9J 3K4. The “partner” is the business whose wholesale account application is approved. The person submitting the application confirms that they are authorized to act for that business. A separate agreement accepted in writing by both parties takes priority on the matters it covers. These wholesale terms take priority over general website policies where they conflict.
2. Account approval and information
Submitting an application does not guarantee an account, credit or a particular price. The partner supplies accurate information and tells BBCR about changes in ownership, address, contact details or billing responsibility. Account access must be limited to people authorized by the partner.
3. Prices, discounts and quantities
Prices are in Canadian dollars. Applicable taxes, delivery charges and other fees are identified in the order or proposal. Approved account prices and conditions apply to eligible products; retail promotions and subscription discounts do not automatically combine with wholesale pricing. Any order minimums, case quantities or volume commitments must be communicated and accepted before the order is confirmed. These terms impose no general volume commitment or exclusivity.
4. Price changes
BBCR aims to provide 30 days’ written notice of regular price changes. If exceptional circumstances require a faster change, BBCR communicates it before accepting new orders at the revised price. An already-confirmed order retains its agreed price unless both parties agree to a change.
5. Payment and credit
Payment is due when ordering unless BBCR approves different terms in writing. Where Net 15 credit is expressly approved, full payment is due 15 calendar days after the invoice date; any other due date agreed in writing applies to the relevant account. Opening a wholesale account does not automatically grant credit. Accepting these terms does not authorize automatic bank withdrawals or automatic card charges: separate authorization is required.
6. Overdue invoices
BBCR may pause acceptance or fulfilment of new orders, withdraw credit terms or require payment in advance when an invoice is overdue. BBCR informs the partner of the action taken. The partner promptly reports billing errors and pays the undisputed portion by its due date. These terms introduce no interest rate, late-payment penalty or fixed collection fee.
7. Orders, availability and changes
The partner checks the selected coffee, bag size, quantity, grind, delivery details and special instructions. An order is accepted when BBCR confirms it in writing or through its ordering system. Production dates, cutoffs and applicable lead times are communicated for the service used. If a coffee becomes unavailable, BBCR proposes a solution and obtains the partner’s agreement before substituting it. Requests to change or cancel an order require BBCR’s confirmation. Once roasting, grinding or custom packaging for the order has begun, a reduction or cancellation may be refused; the partner remains responsible for products prepared according to the accepted order.
8. Delivery, shipping and pickup
Applicable fees, free-delivery thresholds, service areas and arrangements are those presented before the order is confirmed, unless a different arrangement is agreed in writing. Retail shipping promotions do not automatically apply to wholesale purchases. Announced delivery times are estimates unless BBCR expressly commits otherwise in writing. The partner supplies an accurate address, safe access and someone available to receive the products where required. Additional redelivery or rush-service charges must be communicated and accepted before being incurred.
9. Inspection, errors and quality concerns
The partner inspects the order on receipt. Incorrect, missing or visibly damaged products should be reported within three business days of receipt, with the order number and, where relevant, photos of the products, packaging and shipping label. A quality problem that could not reasonably be identified on receipt must be reported promptly after discovery. This reporting period does not remove rights that cannot legally be excluded. The partner retains affected products and packaging until BBCR provides instructions. Following assessment, BBCR agrees on an appropriate resolution for a confirmed fulfilment error, damage or quality problem.
10. Returns and partner selections
Correctly supplied coffee is not returnable because of a change of mind, excess stock or the partner’s incorrect choice of coffee, bag size or grind. BBCR may nevertheless consider requests for assistance individually. No products should be returned without prior authorization. Defective products, BBCR errors and statutory rights remain addressed under section 9 and applicable law. Equipment return and warranty arrangements are specified when it is sold or in a separate agreement.
11. Storage, preparation and traceability
After receipt, the partner is responsible for appropriate storage, stock rotation, clean equipment and proper preparation. Coffee must be protected from moisture, excessive heat, contaminants and odours. Lot and date information must remain available for traceability. Following a safety or recall notice, the partner stops selling or using affected products and cooperates with BBCR’s reasonable instructions.
12. BBCR branding and resale
Coffee intended for resale under the BBCR brand must remain in its original packaging with its product information. The partner must not repackage, relabel or present it under another brand without a written agreement. BBCR logos and images supplied to the partner must be used to accurately promote authorized products and do not transfer ownership of the brand. Preparing and serving drinks from purchased coffee is permitted within the partner’s approved business activities. Private label and distribution are subject to specific arrangements.
13. Training, support and equipment
Included or chargeable training, visits, repairs and support are specified in writing according to the partner’s needs. Buying coffee is not a promise of unlimited training, free technical service or loan equipment. Equipment sold, rented or loaned has its own terms, including maintenance, warranty, return and any associated commitments.
14. Suspension and ending the partnership
The partner may request account closure in writing. BBCR may suspend or close an account for nonpayment, materially inaccurate information, unauthorized brand use or another material breach. Where the issue can be corrected, BBCR identifies it and provides a reasonable opportunity to resolve it, unless immediate action is necessary to protect product safety or prevent fraud. Closing the account does not cancel outstanding invoices, already-accepted orders or obligations under a separate agreement.
15. Updates, language and governing law
These terms have a version number and date. Material changes are communicated before they apply to new orders and do not retroactively change an already-accepted order. The French and English versions are provided together on this page. Language rights and other mandatory rights under applicable law are preserved; a website language preference does not, by itself, waive those rights. These terms are governed by Québec law and applicable Canadian federal law.
